Musk edges towards a merger, Beijing's national-security red lines take shape, FSD subscriptions as a profit lever
Musk denies selling the China business but has personally stoked the xAI-Tesla merger narrative. The share price looks more and more like a SpaceX option, and the standalone car-selling valuation anchor keeps weakening. Beijing's 3 concrete objections to a merger turn China's national-security review from a theoretical issue into a red line.

The $99-a-month FSD subscription, worth about $1.8 billion a year in high-margin cash flow, is one of the few things in a poor set of results that can improve earnings quality, but it comes nowhere near supporting a $1 trillion valuation.
Key evidence
- Musk on the 22 Jul earnings call: xAI and Tesla increasingly overlap, especially on the Terafab chip plant. He pointedly did not deny a merger, saying only that it would have to go through a proper process (resurfaced by Fortune and Investing.com on 1 Aug)
- Deepwater's Gene Munster raised the odds of a merger within a few years to 90%; Kalshi puts the chance of a merger before 2028 at about 60%
- Beijing's 3 concrete objections to a merger (WSJ, CnEVPost, IBTimes): personal data on about 2 million Chinese owners could end up with a US defence contractor; manufacturing know-how from the Shanghai Gigafactory could flow to the US military; and exposure to dual-use materials such as rare earths
- The Shanghai factory builds half of all Teslas worldwide and its Q2 exports rose 32.8%. The 2 lifelines of LFP cells and TSMC chips make a real decoupling extremely hard
- Motley Fool estimate, 1 Aug: at the current pace, $99-a-month FSD subscriptions run at about $1.8 billion a year. That is a small slice of last year's $94.8 billion revenue, but software subscriptions carry far higher gross margins than car sales
- Q2 automotive gross margin collapsed to 16.3% and operating margin was squeezed to 1.4%. Q2 FCF was -$1.1 billion, and the sell-side consensus for full-year 2026 FCF is about -$11.4 billion (cash burn on AI, Optimus and data centres)

- FinanceBuzz tally of sell-side positions after the Q2 results: 22 Buy, 19 Hold, 6 Sell, with a 12-month consensus target of about $425 (TipRanks is lower at about $383, Hold)
- TSLA closed at $311.21 on 31 Jul (a modest rebound from the 52-week low of $298 on 29 Jul, not a turning point)
Catalysts to watch
- The xAI-Tesla merger narrative keeps heating up: Munster puts the odds at 90%, Kalshi at 60%
- Clearer synergies around the Terafab chip plant, Starlink and CyberCab integration
- Scaling the $99-a-month FSD subscription: about $1.8 billion a year in high-margin cash flow
- Optimus 3 production target pinned to late July or early August (the risk of slipping remains; tracked by RoboZaps)
- FSD v14.3.7 / 2026.20.10 rollout (small incremental changes such as showing miles driven without intervention; not a catalyst)
Risks
- Every bit of heat in the merger narrative weakens TSLA's standalone car-selling valuation anchor a little more (echoing Jefferies' proxy-stock warning)
- Beijing's national-security review turns from a theoretical issue into a red line: a merger would meet hard regulatory resistance in China
- A real decoupling is extremely hard: with 2 lifelines in LFP cells and TSMC chips, the dilemma is unresolved
- At $1.8 billion, FSD subscriptions are too small in absolute terms and still far from supporting a $1 trillion valuation
- Full-year 2026 FCF is expected at -$11.4 billion; the gap between weakening fundamentals and the share price has not closed
Show 2 more
- The risk of Optimus 3 production slipping persists
- Analysts are torn: ratings unchanged and targets revised down, but still betting on the long-term AI option. The gap between fundamentals and the share price remains
