Chief accounting officer (CAO) handover is now official, with Jonathan M. Franklin taking over

A first-hand but low-weight governance update. We note it for the record. It does not change our view, which remains cautious. The CAO handover is an orderly transition, not a sudden departure, and is not in itself a fundamental turning point.

But the timing falls in a sensitive period, with the securities fraud class action and the FTC lawsuit both unresolved and the market watching gross margin and earnings quality. How results are disclosed from here on is the variable to watch. The core tension is unchanged.

Key evidence

  • SEC Form 8-K of 7 Oct, Item 5.02: Jonathan M. Franklin (aged 43) joined as chief accounting officer on 5 Oct. The board appointed him principal accounting officer on 7 Oct, effective 9 Oct.
  • The previous principal accounting officer, Irene Becklund, is leaving as previously disclosed (an 8-K filed in July disclosed her October departure and a consulting agreement). The company has signed a consulting agreement with her, effective 10 Oct, to provide transition support until 10 Jul 2027.
  • Franklin's background: before joining he worked at Rivian (from 2022, most recently as VP Corporate Controller until Oct 2026). Earlier he rose to audit director in PwC's audit practice. He is a CPA in Michigan.
  • The core tension is unchanged: revenue up 38% YoY, set against earnings quality eroding on both fronts. Gross margin has been structurally squeezed to 64%, the company has swung to a loss of $86.3 million, and there is an FTC provision of about $62.5 million. Other pressures are Visa acquirer monitoring, the securities class action, competition and channel pressure from Amazon and Novo, and upfront costs of international expansion weighing on gross margin.

Catalysts to watch

  • 2 Nov: deadline for lead plaintiff applications in the Velanki securities fraud class action
  • Whether Q4 profit can jump (the next proof point)
  • Any tweaks to how results are disclosed once the new CAO is in post
  • Progress in the FTC lawsuit

Risks

  • This is only an orderly handover, not a sudden departure, and it is not a fundamental turning point
  • The new CAO comes from a growth company with complex accounting (Rivian) and has a PwC audit background. There is a chance that disclosure will tighten, but this is unconfirmed
  • None of the core problems (gross margin squeeze, swing to a loss, litigation, competition) has improved because of the change of personnel
